Persistent Systems, through its wholly-owned direct subsidiary Galaxy Germany Holding SE, has successfully completed its voluntary public takeover offer for Nagarro SE, securing an 83.25% stake in the digital engineering firm. The move positions Persistent Systems to pursue a delisting of Nagarro shares from the Frankfurt Stock Exchange.
The initial acceptance period for the offer concluded on September 17, 2026. During this period, 7,568,145 Nagarro shares, representing approximately 61.15% of the total share capital, were tendered. Combined with a pre-existing 22.10% stake secured from Lantano Beteiligungen GmbH, Persistent Systems now holds 83.25% of Nagarro’s outstanding share capital, excluding treasury shares. This exceeds the minimum acceptance threshold of 50% plus one share required for the offer’s completion.

Persistent Systems: Additional Acceptance Period Announced
Nagarro shareholders who did not tender their shares during the initial period have an additional opportunity to accept the offer. This second acceptance period will run from September 23, 2026, to October 6, 2026. Shares can be tendered at the same cash consideration of EUR 81.00 per share.

Plans for Delisting and Transaction Closure
Following the successful takeover, Persistent Systems intends to terminate the admission of Nagarro shares to trading on the regulated market (Prime Standard) of the Frankfurt Stock Exchange, and on other open markets, as soon as legally and practically feasible. The delisting would result in Nagarro’s exclusion from the SDAX index and a likely reduction in the liquidity of its shares. Nagarro’s Management Board has expressed willingness to support the delisting, subject to its fiduciary duties.
